These Terms of Service (Terms) constitute a legally binding agreement between Hefei Zhou Gui Bei Network Technology Co., Ltd., a company incorporated under the laws of the People's Republic of China with its registered office at Wenyi Yunhewan Building 9, Room 401, Linquan East Road and Tongda Road intersection north 200m, Yaohai District, Hefei, Anhui 230000 (Zhou Gui Bei, we, us, or our), and you (Client, you, or your), governing your access to and use of the website located at www.zhouguibei.autos (the Website) and our computer systems design, consulting, and related professional services (collectively, the Services).
1. Acceptance of Terms
By accessing or using our Website, or by engaging us for Services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access the Website or use our Services. These Terms apply to all visitors, users, clients, and others who access or use our Website or Services.
2. Services Description
Zhou Gui Bei provides computer systems design and related services, including but not limited to:
- Enterprise system architecture design and consultation
- Custom software and application development
- Cloud infrastructure planning and migration services
- Network architecture and cybersecurity assessment
- IT project management and technology advisory
- Ongoing technical support and system maintenance
The specific scope, deliverables, timeline, and fees for any Service engagement will be set forth in a separate written Statement of Work (SOW) or Service Agreement executed by both parties. In the event of any conflict between these Terms and a signed SOW, the SOW shall prevail.
3. Use of the Website
You agree to use the Website only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Website in any way that violates applicable Chinese or international laws and regulations
- Attempt to gain unauthorized access to any part of the Website, its servers, or related systems
- Introduce any viruses, malware, or other harmful code to the Website
- Use any automated means (scraping, bots, spiders) to access or collect data from the Website without our prior written consent
- Interfere with or disrupt the proper operation of the Website or any Services
- Misrepresent your identity or affiliation with any person or organization
4. Intellectual Property
4.1 Our Intellectual Property
All content, features, and functionality on the Website — including but not limited to text, graphics, logos, icons, images, software code, design elements, and the overall look and feel — are the exclusive intellectual property of Zhou Gui Bei or its licensors and are protected by Chinese and international copyright, trademark, and other intellectual property laws. The name Zhou Gui Bei (周贵备), our logo, and all related names and marks are trademarks of Hefei Zhou Gui Bei Network Technology Co., Ltd.
4.2 Client Deliverables
Unless otherwise agreed in a written SOW, upon full payment for Services rendered, Zhou Gui Bei grants the Client a perpetual, non-exclusive, non-transferable license to use any custom software, designs, or documentation created specifically for the Client under that SOW for the Client's internal business purposes. Zhou Gui Bei retains ownership of all pre-existing tools, frameworks, libraries, methodologies, and know-how used in the delivery of Services.
5. Confidentiality
Each party agrees to maintain the confidentiality of any proprietary or confidential information disclosed by the other party (Confidential Information) during the course of the engagement. Confidential Information does not include information that: (a) is or becomes publicly available through no breach of these Terms; (b) was lawfully known to the receiving party prior to disclosure; (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information; or (d) is required to be disclosed by law, regulation, or court order. Both parties agree to use Confidential Information solely for the purpose of performing obligations under these Terms and any applicable SOW.
6. Limitation of Liability
To the fullest extent permitted by applicable law, Zhou Gui Bei shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, business, or goodwill — arising out of or in connection with your use of the Website or Services, whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
In no event shall our total aggregate liability to you for all claims arising under or relating to these Terms or any Services exceed the total fees actually paid by you to Zhou Gui Bei during the twelve (12) months immediately preceding the event giving rise to the claim.
7. Disclaimer of Warranties
The Website and all information, content, and materials contained therein are provided on an as-is and as-available basis without any warranties of any kind, either express or implied. To the fullest extent permitted by law, Zhou Gui Bei disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Website will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
8. Indemnification
You agree to defend, indemnify, and hold harmless Zhou Gui Bei, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Website or Services; (b) your breach of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) your violation of applicable laws.
9. Payment Terms
Fees for Services shall be set forth in the applicable SOW. Unless otherwise specified, invoices are payable within thirty (30) calendar days of the invoice date. Late payments shall accrue interest at the rate of 1.5% per month, or the maximum rate permitted by law, whichever is lower. Zhou Gui Bei reserves the right to suspend Services if payment is more than fifteen (15) days past due.
10. Termination
Either party may terminate a Service engagement upon thirty (30) days' written notice to the other party, subject to any minimum commitment period specified in the applicable SOW. Zhou Gui Bei may suspend or terminate your access to the Website immediately, without prior notice, for any conduct that we determine, in our sole discretion, violates these Terms or is otherwise harmful to our interests or other users. Upon termination, you must immediately cease all use of the Website and any Services deliverables not yet paid for, and each party shall return or destroy all Confidential Information of the other party.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved within thirty (30) days, either party may submit the dispute to the competent courts located in Hefei, Anhui Province, which shall have exclusive jurisdiction.
12. Force Majeure
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government orders, epidemics, internet or telecommunications failures, or labor disputes.
13. General Provisions
Severability: If any provision of these Terms is found to be invalid or unenforceable,
the remaining provisions shall remain in full force and effect.
Waiver: No waiver of any breach of these Terms shall constitute a waiver of any
subsequent breach.
Assignment: You may not assign or transfer your rights or obligations under these Terms
without our prior written consent. Zhou Gui Bei may assign these Terms without restriction.
Entire Agreement: These Terms, together with any applicable SOW, constitute the entire
agreement between the parties with respect to the subject matter hereof and supersede all prior
agreements and understandings, whether written or oral.
Notices: All notices under these Terms shall be in writing and sent to the addresses
specified herein or to such other address as either party may designate in writing. Notices to Zhou Gui
Bei shall be sent to office@zhouguibei.autos.
